Docuup – Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Docuup’s document generation application for ClickUp (the “Service”) provided by Docuup (“Docuup”, “we”, “our”, or “us”). By installing, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, do not use the Service.

1. The Service

Docuup is a cloud-based tool that connects to your ClickUp workspace and allows you to generate documents (such as PDFs, contracts, reports, and summaries) based on templates and data from ClickUp tasks, lists, and other records.

We may modify, update, or discontinue parts of the Service at any time. If we make changes that materially reduce core functionality, we will use reasonable efforts to notify you via the Service, email, or our website at docuup.com.

2. Eligibility and Accounts

You must be at least 16 years old to use the Service. By using the Service, you confirm that you are at least 16.

Docuup uses ClickUp authentication and permissions. When you install Docuup in a ClickUp workspace or sign in via ClickUp, you authorise us to access certain data from that workspace as permitted by the ClickUp integration and any scopes you approve.

2.1 Workspace and Admins

The ClickUp workspace owner and admins (“Admins”) control who may access Docuup within that workspace. Admins may enable or disable the integration, manage templates, and control which users can generate documents.

You acknowledge that your employer or organisation that owns the ClickUp workspace may control and access information associated with your use of the Service.

3. Customer Data

“Customer Data” means any data, content, templates, or files you submit to the Service or that we receive from ClickUp on your behalf, including but not limited to task fields, custom fields, attachments, template content, and generated outputs.

3.1 Ownership

You retain all ownership rights to your Customer Data. Docuup does not claim ownership over your templates, task data, or generated documents.

3.2 Our Limited License

You grant Docuup a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit Customer Data only as necessary to:

  • Provide and operate the Service;
  • Generate and deliver your documents;
  • Monitor, maintain, and improve the Service; and
  • Investigate and resolve support or security issues.

3.3 Prohibited Data

You agree not to submit or route through the Service any data that is subject to special legal protections requiring enhanced security or compliance, including:

  • Medical or health information (e.g., HIPAA-regulated data);
  • Payment card information subject to PCI DSS (e.g., full card numbers, CVVs);
  • Special categories, such as information about race, ethnic origin, politics, religion, or health, unless you have a lawful basis and appropriate safeguards in place.

4. Templates and Generated Documents

The Service allows you to design templates and generate documents from ClickUp data. You are solely responsible for:

  • The legal compliance of the templates and generated content;
  • The accuracy of data used in generated documents; and
  • Any decisions or actions taken based on documents created with the Service.

Docuup does not provide legal, financial, or professional advice. Documents generated using Docuup should be reviewed by appropriate professionals where necessary.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose;
  • Attempt to reverse engineer, decompile, or otherwise derive source code from the Service;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use the Service to create or distribute malware, spam, or deceptive content; or
  • Attempt to bypass technical or security restrictions we put in place.

6. Fees and Payment

Some features of Docuup may require a paid subscription. Pricing and billing terms will be presented in the ClickUp app listing, within the Service, or in a separate order or subscription page.

Unless stated otherwise, subscriptions renew automatically at the end of each billing cycle unless cancelled. You may cancel at any time, but fees already paid are generally non-refundable unless required by law or explicitly stated.

7. Third-Party Services

Docuup relies on ClickUp and may integrate with other third-party services in the future. Your use of third-party services is governed by their own terms and privacy policies. Docuup is not responsible for those services or their handling of your data.

8. Privacy

Our use of personal data is described in the Docuup Privacy Policy. By using the Service, you agree that we may collect and use personal data in accordance with that policy and applicable data protection laws, including where relevant the Ghana Data Protection Act, 2012 (Act 843).

9. Termination

You may stop using the Service at any time by uninstalling Docuup from your ClickUp workspace or discontinuing use of the integration.

We may suspend or terminate your access to the Service if you breach these Terms, if we are required to do so by law, or if we discontinue the Service.

10. Disclaimers

The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Docuup will not be liable for:

  • Any indirect, incidental, special, or consequential damages;
  • Loss of profits, revenue, or data; or
  • Business interruption or loss of goodwill.

In all cases, Docuup’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total amount you paid to Docuup for the Service in the twelve (12) months preceding the event giving rise to the claim.

12. Governing Law

These Terms and any dispute arising out of or in connection with them will be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to conflict-of-law rules.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice, for example via email, in-app notification, or on docuup.com. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.
